| For users of our website www.webvisitor-id.com (the "Website") and application forms, services and Web Visitor ID including Anti Theft Protection software (all referred to as the "Software") herein available in part or in whole for visitors and subscribers to use. |

| The terms “We”, “WE”, “Our”, “OUR” or “Us”, “US” refer to Biz Solutions Inc, Hong Kong, the owner of the Software and the Website. |

Web Visitor ID is distributed by Millennium Software, Inc (referred to as "Millennium").
Your payment for subscribing to Web Visitor ID will be processed through Google Checkout ("Google") or by 2Checkout.com ("2CO").

| Please read through these Terms and Conditions carefully before you use the Website or any of our Software. If during your visit to this Website or when you subscribe to our Software you do not approve or agree with the Website, the Software or any of these Terms and Conditions, you should discontinue using our Website and Software immediately and return any materials supplied by us. |

The published material and Software supplied via the Website is provided "AS IS" without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. In no event shall Biz Solutions be liable for damages of any kind arising from the use of Biz Solutions web pages or the Software and Biz Solutions assumes no responsibility for errors, omissions or faults of any kind in these web pages or any other web pages linked to it or the Software. Information on this web site is subject to change without notice. |

| The Software is distributed by Millennium. Millennium provides order processing, customer account management and website maintenance for Biz Solutions Inc. Credit card authorizations are handled by www.2checkout.com (2CO) or Google.

| PRIVACY |
| When you visit our Website, or any other website providing a link to subscribe to the Software, you do not have to tell Millennium who you are, or reveal any personally identifiable information*. Because we take your privacy seriously, Millennium will collect any personally identifiable information unless you voluntarily provide it. At no time during your visit to this Website or other websites providing a link to a form to subscrbe to the Software should you feel obligated to reveal any personal information to Millennium.

* Personally identifiable information ("Personal Information") is defined as any personal information that could identify you, such as your name, address, telephone number, billing and shipping information, credit card information, or e-mail address.
Our Website's free Pending account form (the "Free Form") require users to give us their account information (their name, email address and web URL) and demographic information (their Country).
Users of the Software embed a piece of HTML code into their web site which reports their site visitor information for their own use. We do not use or collect this information for our own purposes.
We collect IP address information from the Free Form for the purposes of detecting and preventing illegal duplicate applications.
We do not insert cookies into any web site.
Our Affiliate software is supplied by iDevDirect.com LLC, Valencia, California, United States. When a visitor is referred by a website containing a link to our Website, iDevAffiliate software inserts a cookie into the order form and into customer's credit card approved return page to identify which affiliate has referred the customer for purposes of paying commissions.
We do not collect or store any subscriber credit card information. Credit card authorizations are processed either by Google or by www.2checkout.com.. 2CO is a reseller of the software. If you subscribe to Web Visitor ID form our website, your payment will be to 2CO (2checkout.com) and you will see 2CO on your credit card statements. If you subscribe through Google you will see Millennium on your credit card statement.

| TERMS AND CONDITION OF SERVICE |
| The following Terms & Conditions govern your use of our Website and the Software, which is conditioned on your acceptance of these Terms & Conditions. |
| By continuing to use the Website and/or the Software you accept and agree to be bound by all these Terms and Conditions ("your Agreement"), as well as any additional terms specific to the particular Software for which you register or subscribe. Since this is a binding legal agreement between you and Millennium Software, Inc. please print a copy for your records. |

| 1. USE OF SOFTWARE |
When you pay for a subscription for the Software you receive a membership account to use the Software (your "Membership Account", "Account").
You agree unreservedly that:
You will use the information provided by the Software for your own purposes only and that you will not disclose such information to any person outside your employer’s staff.
You will not disclose any information provided by the Software in any public forum such as a publication or web blog.
You will not distibute information provided by the Software to any person outside your employment.
You are not permitted to sub contract your Account to any third party.

| 2. YOUR PROMISES AND OBLIGATIONS |
| AS A CONDITION OF USING WEB VISITOR ID SOFTWARE, YOU PROMISE, REPRESENT, AND WARRANT THE FOLLOWING: |
| None of the URLs you submit to use the Software services will link to any web page or site that contains any: |
a. nudity, pornography, or other sexual or adult material;
b. hate propaganda or material that encourages or promotes illegal activity or violence;
c. content that violates or infringes in any way upon the statutory, common law, or proprietary rights of others, including but not limited to copyrights, trademark rights, patents, or any other third party intellectual property, contract, privacy, or publicity rights;
d. material that promotes or utilizes software or services designed to deliver unsolicited email;
e. material that violates any local, state, or national law or regulation;
f. misrepresentations or material that is threatening, abusive, harassing, defamatory, obscene, profane, indecent, or otherwise objectionable, offensive, or harmful; or
g. other material that Millennium in its sole discretion, deems inappropriate, including any violations of standards posted on Millenniums’ Website or sent to you by email; |
The following types of Web sites are also NOT allowed to be included:
h. Web sites which promote illegal activity or racism, or which are libelous, defamatory, racist, hate-crime oriented, obscene, pornographic, abusive, harassing or threatening;
i. Web sites which contain viruses or other contaminating or destructive features;
j. Web sites which violate the rights of others, such as Content which infringes any copyright, trademark, patent, trade secret or violates any right of privacy or publicity;
k. Web sites which provide instructions or discussions about performing illegal activities, (e) Web sites that promote or utilize software or services designed to deliver unsolicited email, or (f) Web sites which otherwise violate any applicable law or that we otherwise deem to be inappropriate.

| l. You will safeguard your Membership Account username and password and the account usernames and passwords of persons who are added to your Membership Account. |

| 3. PAYMENT |
When you purchase directly from our Website, you agree to pay Millennium recurring 3-monthly subscription fees listed on our Website for the Software version you select until you cancel.
When you subscribe for the Software from our website you will see 2CO Millennium on your credit card statements.
When you purchase using Google Checkout, your payment will be a one time charge for 12 months subscription and you will see Millennium on your credit card statement.
The Software is supplied in four alternative versions, Standard account, Silver account, Gold account and Super Gold account. The capacities and report options available with each version are described on our Website.
You may upgrade your account to a new version or expansion of the same version at any time.
When you upgrade your account, your previous subscription payment schedule will be cancelled and the new subscription payment schedule will be substituted.
There are no refunds for unexpired portions of cancelled subscriptions for any reason.

| 4. PRICING CHANGES AND OTHER MODIFICATIONS |
3-Monthly subscription charges for current subscribers will not be varied at any time.
We may change the fee schedule for new subscribers, or any other terms of this Agreement, at any time by updating the applicable pricing information or other terms posted on this Website

| 5. CANCELLATION OF SERVICES |
At any time after activation of a Membership Account, either you or we may cancel your Membership Account (we may discontinue your Membership Account completely) by providing notice to the other party, in which case use of Software will terminate on the date specified in the cancellation notice. If no date is specified, the Software will terminate at the end of the then-current billing period. we also reserve the right to cancel use of Software immediately and without notice in the event that you breach any provision of this Agreement or any other terms that apply.
Without limiting its other remedies, We may refuse or cancel your Membership Account at any time for any violation of the promises made in this your Agreement. To assure compliance with the criteria contained in these Terms and Conditions, Millennium reserves the right to monitor the content of the web pages or sites that you include in your Software. |

| 6. TERM OF AGREEMENT |
| The term of this Agreement will begin on the date that Millennium accepts your initial registration of your Membership Account and will continue in force until terminated by either party. Upon cancellation, or any time thereafter, either party may terminate your Membership Account and this Agreement by written notice to the other party. Millennium reserves the right to terminate your Membership Account and this Agreement immediately and without notice in the event that you breach any provision of this Agreement. No refunds will be available on account of any termination of this Agreement. Sections 12 through 16 of this Agreement shall survive and remain in effect notwithstanding any termination of this Agreement. |

| 7. REFUNDS |
| If you cancel your Membership Account you acknowledge and agree that NO REFUNDS WILL BE ISSUED. In order to avoid the 3-monthly fee for a subscription period, you must cancel your Membership Account BEFORE the next 3-monthly billing period. |
| NO REFUNDS WILL BE AVAILABLE ON ACCOUNT OF ANY CANCELLATION BY EITHER PARTY. |

| 8. USE OF HTML CODES AND INSTALLED SOFTWARE |
Web Visitor ID relies on the use of HTML code (the "HTML Code") that is available to you via your HTML code tab which you are licensed to add into your web pages.
Anti Theft Protection will rely on the use of installed software ("Installed file") upon release.
You agree that Millennium will not be responsible for any malfunctions, errors, data inaccuracies, or improper results attributable to your incorrect, unauthorized, or unsupported use of the HTML Code or Installed Software.
You agree that Millennium will not be liable in any way from any changes in the performance of your website from the introduction of the HTML Code.
You agree that you will abide by our instructions regarding the addition of the HTML code into your website and the Installed Software into your laptop.
If this agreement is terminated for any reason, you agree to remove our HTML code and any other parts of Software from all of your web sites and other items provided by us.

| 9. OWNERSHIP RIGHTS |
| Millennium licenses the Software from Biz Solutions Inc. You agree and understand that the Software and all graphic designs, icons, Codes, HTML code, computer programming, and other elements incorporated therein are the exclusive property of Biz Solutions Inc. In addition, you acknowledge that Biz Solutions Inc owns all right, title, and interest in Web Visitor ID trademarks, trade names, service marks, inventions, copyrights, trade secrets, patents, technology, and know-how related to the design, function, or operation of the Software. Your rights to the Software are strictly limited to the rights expressly granted in this Agreement. |

| 10. DEACTIVATION OF INFORMATION |
| If you would like to change or deactivate information you have submitted through a free trial form or at registration, please send a request using the contact form. Millennium will change or de-activate any information as soon as possible after your request, unless we are required or authorized by law not to do so. |
|
| 11. HOW YOUR PERSONAL INFORMATION CAN BE USED. |
| By submitting the Free Form, or by entering into a subscription for a paid for Membership Account, you are agreeing that the Personal Information you provide can be used for the execution of this Agreement, administration of your account, marketing analysis of the Website Software and market research on behalf of Biz Solutions. Biz Solutions will not share your Personal Information with any third party.

| 12. DISCLAIMER OF WARRANTY |
| Neither Biz Solutions or Millennium make any guarantees of any kind regarding the use or the results derived from the Software in terms of dependability, accuracy, security, timeliness, availability, reliability, or usefulness. Your Membership Account and Software and all related materials are provided "AS IS" without warranty of any kind. WE HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH REGARD TO THE SOFTWARE AND RELATED MATERIALS, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Millennium DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE SOFTWARE WILL BE SUITABLE FOR YOUR NEEDS OR YOUR INTENDED APPLICATIONS, OR THAT THE SOFTWARE WILL BE COMPATIBLE WITH OR OPERATE IN THE HARDWARE, SOFTWARE, OR WEBSITE CONFIGURATIONS THAT YOU SELECT. |

| 13. LIMITATION OF LIABILITY |
| IN NO EVENT WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR INDIRECT DAMAGES OF ANY KIND OR NATURE, INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOSS OR DAMAGE OF DATA, AND DAMAGE TO BUSINESS REPUTATION, UNDER ANY THEORY OF LAW OR EQUITY, AND WHETHER OR NOT Millennium IS NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES. |

| FURTHERMORE, IN NO EVENT WILL OUR TOTAL, CUMULATIVE LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT RECEIVED BY Millennium FROM YOU UNDER THIS AGREEMENT. Without limiting the foregoing, we are not responsible for any of your data residing on our hardware or servers. You are responsible for backing-up your data and information that may be provided by the Software, whether or not such information is produced through the use of the Software. |

| 14. INDEMNIFICATION |
| You agree to indemnify, hold harmless, and (at Millennium’s or Biz Solutions request) defend Millennium or Biz Solutions and its officers, directors, shareholders, and representatives from and against any and all liability, damages, losses, costs, or expenses (including but not limited to attorneys' fees and expenses) incurred in connection with any claim related to (a) your breach of any term, condition, representation, warranty, or covenant in this Agreement; or (b) the information you supply to Millennium or make available to any third party, including your registration data and the content of the web pages corresponding to the URLs you submit to Web Services ID This obligation shall survive any termination of your relationship with Millennium or Biz Solutions. |

| 15. SOLE AND EXCLUSIVE REMEDY |
| If you are dissatisfied with any portion of any Software, your sole and exclusive remedy is to cancel your account or your subscription to your Membership Account according to this Agreement. No refunds are available. |

| 16. GENERAL PROVISIONS |
| The laws of the British Virgin Islands (“B.V.I”) govern this agreement. You hereby consent to the jurisdiction of and venue in courts located in B.V.I in all disputes arising out of or relating to this Agreement or your use of the Services. In addition, you hereby consent to the exclusive jurisdiction of, and venue in, such courts for any action commenced by you against Millennium or Biz Solutions Inc. The prevailing party in any dispute relating to the Services or this Agreement will be entitled to recover its costs, expenses and reasonable attorney fees incurred in connection with such dispute. |

| This Agreement, along with our other terms and policies referenced herein, constitutes the entire agreement between you and Biz Solutions with respect to the Software and use of the Website. The Terms and Conditions will govern your general use of the Website, and this Agreement will govern your use of the Software in particular. If any part of this Agreement is held to be unenforceable, that part will be amended to achieve its intended effect as nearly as possible, and the remainder of the Agreement will remain in full force. |
